1. Acceptance of Terms
By accessing or using the Edge platform, APIs, dashboard, or any related services (collectively, the “Services”) provided by Edge (“we,” “us,” or “our”), you agree to be bound by these Terms and Conditions (the “Terms”). If you do not agree, you may not use the Services.
These Terms apply to all users, including organizations, developers, and any individuals accessing the Services on behalf of an entity. By using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.
These Terms constitute a legally binding agreement between you and Edge. You acknowledge that you have read, understood, and agree to be bound by these Terms, along with our Privacy Policy, which is incorporated herein by reference.
2. Definitions
- “Account” means the user account created to access the Services.
- “API” means the application programming interfaces provided by Edge for programmatic access to the Services.
- “API Key” means the unique authentication credential issued to access our APIs.
- “Credits” means the unit of currency used to meter and pay for API requests.
- “Organization” means the entity or team associated with an Account.
- “User” or “you” means any individual or entity accessing the Services.
- “User Data” means any data you submit to the Services, including IBAN numbers and financial data submitted for validation.
3. Description of Services
Edge is a credit-based SaaS API platform that provides financial data services, including but not limited to:
- IBAN validation and structural verification
- Bank identification and BIC/SWIFT lookup
- SEPA membership detection
- Bulk IBAN validation
- Additional financial data services as introduced
Access to API services is metered through a credit-based pricing model. The specific services available, their credit costs, and any applicable limitations are documented in our API documentation and pricing pages.
4. Account Registration and Security
To use the Services, you must create an Account and provide accurate, complete, and current information. You agree to update your information promptly if it changes.
You are responsible for:
- Maintaining the confidentiality of your account credentials, including passwords and API Keys.
- All activities that occur under your Account, whether or not authorized by you.
- Ensuring that all users within your Organization comply with these Terms.
You must immediately notify us at support@edge.bh if you suspect unauthorized access to your Account, API Keys, or any other security breach. Edge will not be liable for any loss or damage arising from your failure to comply with this obligation.
You may not create multiple Accounts to circumvent usage limits, credit restrictions, or any other controls imposed by Edge.
5. API Keys and Authentication
API Keys are generated for programmatic access to our Services. Each API Key is displayed once upon creation and is subsequently stored only as a SHA-256 hash. The raw key cannot be retrieved after initial generation.
You agree to:
- Keep API Keys confidential and secure at all times.
- Not share, publish, or embed API Keys in client-side code, public repositories, mobile applications, or any publicly accessible location.
- Immediately rotate or revoke any API Key that may have been compromised.
- Use API Keys only for their intended purpose and within the scope of permissions granted.
We reserve the right to revoke any API Key immediately and without notice if we detect misuse, a security breach, or a violation of these Terms.
6. Credits, Billing, and Payments
Access to API services is governed by a credit-based system. Credits are consumed per API request according to the pricing schedule published on our website. Different API endpoints may consume different amounts of credits per request.
- Credit Deduction: Credits are deducted atomically at the time of each API request using database-level locking to prevent race conditions and double-spending.
- Insufficient Credits: If your Organization’s credit balance is insufficient, API requests will be rejected with an appropriate error response until additional credits are purchased.
- Non-Refundable: Purchased credits are non-refundable and non-transferable between Organizations unless otherwise agreed in writing.
- No Expiry: Credits do not expire while your Account remains active and in good standing.
- Failed Requests: Credits are not deducted for requests that fail due to system errors on our side. Credits may be deducted for requests that return validation errors (e.g., invalid IBAN format) as the service was performed.
- Free Tier: New accounts receive a one-time allocation of free credits. These credits are subject to the same terms as purchased credits.
We reserve the right to modify credit pricing at any time. Changes will be communicated at least 30 days in advance and will apply only to credits purchased after the effective date.
All payments are processed through third-party payment providers. By making a purchase, you agree to the payment provider’s terms of service. All amounts are stated and charged in the currency specified at the time of purchase.
7. Acceptable Use Policy
You agree not to:
- Use the Services for any unlawful purpose or in violation of any applicable local, national, or international laws or regulations.
- Use the Services to facilitate money laundering, terrorist financing, fraud, or any other financial crime.
- Attempt to gain unauthorized access to any part of the Services, other accounts, or systems connected to the Services.
- Reverse-engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Services.
- Use the Services to process, store, or transmit data in violation of any data protection or privacy laws.
- Resell, redistribute, sublicense, or provide access to the Services to third parties without our prior written consent.
- Send excessive requests designed to overload, stress-test, or disrupt the Services (denial-of-service attacks).
- Use automated tools to scrape, extract, or harvest data from the Services beyond normal API usage.
- Circumvent or attempt to circumvent rate limits, credit requirements, authentication mechanisms, or any other security measures.
- Impersonate any person or entity or misrepresent your affiliation with any person or entity.
- Use the Services to validate or process data for jurisdictions where such processing is prohibited by sanctions or export control regulations.
Violation of this Acceptable Use Policy may result in immediate suspension or termination of your Account, forfeiture of remaining credits, and potential legal action.
8. Rate Limiting and Fair Usage
We impose rate limits on API requests to ensure fair usage, platform stability, and quality of service for all users. Current rate limits are documented in our API documentation and may vary by endpoint and plan tier.
Exceeding rate limits will result in temporary throttling of your requests (HTTP 429 responses). Persistent or deliberate abuse of rate limits may result in suspension of your Account.
We reserve the right to adjust rate limits at any time. Material changes will be communicated in advance where practicable.
9. Data Accuracy and Disclaimer
While we strive to provide accurate and up-to-date financial data sourced from authoritative registries and databases, the Services are provided on an “as-is” and “as-available” basis.
We do not guarantee the accuracy, completeness, timeliness, or reliability of any data returned by our APIs. Bank data, including BIC/SWIFT codes, branch information, and SEPA membership status, may change without notice and may not reflect the most current information.
You are solely responsible for independently verifying any data returned by the Services before making financial, business, or compliance decisions based on it. Edge shall not be held liable for any decisions made or actions taken in reliance on data provided by the Services.
10. User Data and Ownership
You retain all rights to the data you submit to the Services (“User Data”). By using the Services, you grant Edge a limited, non-exclusive license to process your User Data solely for the purpose of providing the Services.
We do not claim ownership of any User Data. We will not use User Data for purposes other than providing the Services unless we have your explicit consent or are required to do so by law.
You represent and warrant that you have all necessary rights and permissions to submit User Data to the Services and that such submission does not violate any third-party rights or applicable laws.
11. Intellectual Property
All content, code, documentation, APIs, trademarks, logos, and other intellectual property related to the Services are owned by Edge or its licensors and are protected by applicable intellectual property laws.
These Terms grant you a limited, non-exclusive, non-transferable, revocable license to use the Services in accordance with these Terms. This license does not include the right to:
- Modify, adapt, or create derivative works based on the Services.
- Use Edge’s trademarks, logos, or branding without prior written consent.
- Copy or reproduce any part of the Services beyond what is necessary for normal API integration.
12. Confidentiality
Each party agrees to maintain the confidentiality of any proprietary or non-public information disclosed by the other party in connection with the Services (“Confidential Information”). Confidential Information includes, but is not limited to, API Keys, business plans, pricing structures, technical data, and user data.
Confidential Information may not be disclosed to third parties without the disclosing party’s prior written consent, except as required by law or to professional advisors bound by confidentiality obligations.
13. Disclaimer of Warranties
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE MAXIMUM EXTENT PERMITTED BY LAW, EDGE DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:
- IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
- WARRANTIES REGARDING THE ACCURACY, RELIABILITY, OR COMPLETENESS OF DATA RETURNED BY THE SERVICES.
- WARRANTIES THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
- WARRANTIES THAT DEFECTS WILL BE CORRECTED OR THAT THE SERVICES ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
- EDGE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES.
- EDGE’S TOTAL AGGREGATE LIABILITY FOR ANY AND ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE TOTAL AMOUNT YOU PAID TO EDGE IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
- EDGE IS NOT LIABLE FOR ANY LOSSES RESULTING FROM: (A) RELIANCE ON DATA PROVIDED BY THE APIS; (B) SERVICE INTERRUPTIONS OR DOWNTIME; (C) UNAUTHORIZED ACCESS TO YOUR ACCOUNT CAUSED BY YOUR FAILURE TO SECURE YOUR CREDENTIALS; (D) ACTIONS OF THIRD PARTIES.
These limitations apply regardless of the theory of liability (contract, tort, strict liability, or otherwise) and even if Edge has been advised of the possibility of such damages.
15. Indemnification
You agree to indemnify, defend, and hold harmless Edge, its officers, directors, employees, contractors, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees and costs) arising from or related to:
- Your use or misuse of the Services.
- Your violation of these Terms.
- Your violation of any applicable law, regulation, or third-party rights.
- Any User Data you submit to the Services.
- Any dispute between you and a third party related to the Services.
16. Service Availability and Modifications
We target high availability of the Services but do not guarantee uninterrupted, error-free access. Scheduled maintenance will be communicated in advance where practicable.
We reserve the right to modify, suspend, or discontinue any part of the Services at any time. We will provide at least 30 days’ notice before discontinuing any material feature or service, except where immediate action is required for security or legal reasons.
We may introduce new services or features that are subject to additional or different terms. Your use of such new services constitutes acceptance of any applicable additional terms.
17. Termination
Termination by You: You may terminate your Account at any time by contacting us or through the dashboard settings. Upon termination, your access to the Services will cease and any remaining credits will be forfeited.
Termination by Edge: We may suspend or terminate your access to the Services immediately and without prior notice if:
- You breach any provision of these Terms.
- We are required to do so by law or a regulatory authority.
- We reasonably believe your use poses a security risk to the Services or other users.
- Your Account has been inactive for an extended period.
Effect of Termination: Upon termination, all licenses granted to you under these Terms will immediately cease. Sections relating to intellectual property, limitation of liability, indemnification, confidentiality, governing law, and any other provisions that by their nature should survive termination will continue in full force and effect.
We will retain your data for a reasonable period following termination to comply with legal obligations, resolve disputes, and enforce our agreements, after which it will be deleted in accordance with our Privacy Policy.
18. Compliance with Laws
You agree to comply with all applicable local, national, and international laws, regulations, and sanctions in connection with your use of the Services. This includes, without limitation:
- Anti-money laundering (AML) laws and regulations.
- Counter-terrorism financing (CTF) regulations.
- Data protection and privacy laws, including Bahrain’s Personal Data Protection Law (PDPL) and, where applicable, the EU General Data Protection Regulation (GDPR).
- Export control and trade sanctions regulations.
You may not use the Services in any jurisdiction where such use would be prohibited by applicable laws or sanctions.
19. Third-Party Services
The Services may integrate with or contain links to third-party services, websites, or resources. Edge is not responsible for the availability, content, or practices of any third-party services. Your use of third-party services is at your own risk and subject to the terms and conditions of those third parties.
Our use of third-party payment processors, hosting providers, and infrastructure services does not constitute an endorsement of those services.
20. Force Majeure
Edge shall not be liable for any failure or delay in performing its obligations under these Terms due to circumstances beyond its reasonable control, including but not limited to: natural disasters, acts of war or terrorism, epidemics, government actions, power failures, internet or telecommunications failures, cyberattacks, or labor disputes.
21. Modifications to Terms
We reserve the right to update or modify these Terms at any time. Material changes will be communicated via email to the address associated with your Account or through a prominent notice on our platform at least 30 days before they take effect.
Your continued use of the Services after the revised Terms take effect constitutes your acceptance of the changes. If you do not agree to the revised Terms, you must stop using the Services and terminate your Account.
We will maintain an archive of previous versions of these Terms, available upon request.
22. Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the Kingdom of Bahrain, without regard to its conflict of laws principles.
Any dispute arising out of or relating to these Terms or the Services shall first be attempted to be resolved through good-faith negotiation between the parties. If the dispute cannot be resolved within thirty (30) days of written notice, it shall be submitted to the exclusive jurisdiction of the competent courts of the Kingdom of Bahrain.
23. Severability
If any provision of these Terms is found to be invalid, unenforceable, or illegal by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.
24. Waiver
No waiver of any term or condition of these Terms shall be deemed a further or continuing waiver of such term or any other term. Edge’s failure to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
25. Assignment
You may not assign or transfer your rights or obligations under these Terms without the prior written consent of Edge. Edge may assign its rights and obligations under these Terms without restriction, including in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of its assets.
26. Entire Agreement
These Terms, together with the Privacy Policy and any other policies or agreements referenced herein, constitute the entire agreement between you and Edge regarding the Services and supersede all prior and contemporaneous agreements, representations, and understandings, whether written or oral.
